Constitution of the Clifton Village Community Association
- Name: The name of the association shall be the Clifton Village Community Association, hereinafter called ‘The Association’
- Members: Those eligible to join the Association shall be all those residents living within the geographical boundaries of Clifton Village. Anyone living beyond the geographical boundaries of Clifton Village may also join the Association if agreed by a majority of the committee.
- Objects: The objects of the Association shall be ‘the furtherance of community life within the village for all of those residents there and also the preservation of the existing and future environment of the village’. In addition, to secure the establishment of a Community Centre and to maintain and manage or co-operate with any local statutory authority in the maintenance and management of such a centre for activities promoted by the association in furtherance of the above objects. The Association shall be non-party on politics and non-sectarian in religion. The Association shall have power to affiliate to the National Federation of Community Associations, and to other organisations with similar charitable objects.
- Committee: Subject to the limitations as set out in clause 6 hereof, the policy and general management of the affairs of the Association shall be directed by a committee which shall meet not less than 3 times a year. The committee shall consist of a president, chairman, vice-chairman, treasurer and secretary and six other members with power to co-opt other members to the committee as and when it sees fit. The total number of committee members not to exceed 20. All members of the committee to retire annually but be eligible to be reappointed or co-opted again. The committee shall have power to appoint such sub-committees from time to time and may decide their powers and terms of reference.
- Officers: The AGM shall elect a president, chairperson, deputy chairperson, treasurer, secretary and committee members. All such officers to be honorary.
- Annual General Meeting: Once in each year. In the month of September, an AGM shall be convened for the purpose of receiving the annual report and statement of accounts; of electing officers and members of the committee, or accepting resignation; of appointing auditors and voting on proposals to amend the constitution. Members shall be given at least 21 days notice of such a meeting.
- Extraordinary General Meeting: the Committee may at any time, by 21 days notice, call an extraordinary general meeting, and must do so in receipt of a written request signed by at least 11 members of the Association.
- Rules at Meetings: All questions arising at any meeting shall be decided by a simple majority of those present and entitled to vote. No member shall exercise more than one vote. In the case of equality, the chairperson shall have the casting vote.
- a) Annual subscription for members shall be fixed for the following year at each AGM.
- b) All monies raised by or on behalf of the association shall be applied to further the objects of the Association and for no other purpose.
- c) The honorary treasurer shall keep proper accounts of the finances of the Association.
- d) The accounts shall be prepared as at the end of May each year
- e) The statement of accounts for the last financial year shall be submitted to the AGM.
- Trust Property: The title of all and any real property which may be acquired by or for the purposes of the Association shall be vested in Trustees who shall be appointed by the committee, and who shall enter into a Deed of Trust, setting forth the purposes and conditions under which they hold the said property in trust for the Association. The number of Trustees shall be not less than 2 and no more than 4.
- Dissolution: If the committee by a simple majority decide at any time that on the grounds of expense or otherwise, it is necessary or advisable to dissolve the Association, it shall call a meeting of all the inhabitants of the area of benefit of the age of 18 years and upwards, of which the meeting not less than 21 days notice (stating the terms of the resolution to be proposed) shall be posted in a conspicuous place or places in the area of benefit and advertised in a newspaper circulating in the area of benefit and given in writing to the Charity Commissioners for England & Wales and the Secretary for the National Federation of Community Associations. If such decision shall be confirmed by a simple majority of those present and voting at such a meeting the committee shall have power to dispose of any assets held by or in the name of the Association. Any assets remaining after the satisfaction of any proper debts and liabilities shall be applied towards charitable purposes for the benefit of the inhabitants of the area of benefit as the committee shall decide and as may be approved by the Charity Commissioners for England and Wales.
- Alterations to the Constitution: Any proposal to alter this constitution must be delivered in writing to the secretary of the Association not less than 14 days before the date of the meeting at which it is first to be considered. An alteration will require the approval of both 1) a simple majority of members of the committee 2) a two-thirds majority of members present and voting at a general meeting.
Notice of each such meeting must have been given in accordance with normal procedure but not less than 14 days prior to the meeting in question and giving wording of the proposed alteration.
No alteration to clause three shall be made without the consent of the Charity Commissioners for England and Wales.
If trustees have been appointed in accordance with clause 10 hereof an alteration shall not be made without their knowledge and consent, but such consent shall not be unreasonably withheld by them.
This constitution was adopted as the constitution of the Clifton Village Community Association at a public meeting duly convened at Clifton on 10th July 1978.
This constitution (point 6) was updated at the AGM on Monday 2nd September 2019.
